These Terms of Service (“Terms”) govern your access to and use of www.newmeridianconsulting.com (the “Website”), operated by New Meridian Consulting LLC (“New Meridian Consulting,” “NMC,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Website.

1. About New Meridian Consulting

New Meridian Consulting LLC is an e-commerce strategy and operations consulting business based in Tucson, Arizona, serving clients nationwide.

The Website provides general information about NMC, our experience, and our consulting services. Website content is provided for informational purposes and does not constitute a binding offer, professional recommendation, or consulting engagement.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website.

If you use the Website on behalf of a company or other organization, you represent that you have the authority to act on its behalf and agree to these Terms.

3. Consulting Inquiries and Client Engagements

Submitting a contact form, completing a questionnaire, scheduling a consultation, communicating with NMC, or receiving preliminary information does not create a consultant-client relationship.

A consulting engagement begins only when NMC and the client enter into a written agreement or otherwise expressly agree in writing to the scope and terms of the engagement.

Consulting services may be governed by a separate proposal, statement of work, consulting agreement, nondisclosure agreement, invoice, or other written document. Those documents may address matters including:

  • Project scope and deliverables;

  • Client and consultant responsibilities;

  • Fees and payment terms;

  • Project timing;

  • Revisions and change requests;

  • Confidentiality;

  • Intellectual property ownership;

  • Cancellation or termination; and

  • Limitations of liability.

If a separate written agreement conflicts with these Terms regarding paid consulting services, the separate agreement will control.

NMC may accept or decline any inquiry or proposed engagement at its discretion.

4. Consultations, Fees, and Payments

Any prices, service descriptions, timelines, or engagement examples displayed on the Website are general information unless expressly identified as a binding offer.

Final pricing and scope will depend on the client’s circumstances, objectives, business complexity, available information, and requested services.

When a consultation or service requires payment, the applicable amount, due date, cancellation terms, and refund eligibility will be disclosed during booking or in a separate written agreement.

You agree to provide accurate billing information and to pay authorized charges according to the applicable payment terms. Unless otherwise stated in writing, fees do not include taxes or third-party expenses that may apply.

5. Client Responsibilities

The quality and usefulness of consulting work depend in part on the completeness and accuracy of the information provided by the client.

Clients are responsible for:

  • Providing timely, complete, and accurate information;

  • Identifying relevant business constraints, requirements, and risks;

  • Obtaining permission to share data or materials provided to NMC;

  • Reviewing recommendations, deliverables, and implementation plans;

  • Making final business and operational decisions;

  • Verifying that proposed actions comply with applicable laws, platform requirements, contracts, and internal policies; and

  • Maintaining appropriate backups, security controls, and access permissions.

NMC is not responsible for errors, delays, or outcomes caused by inaccurate, incomplete, outdated, or withheld information.

6. No Guarantee of Results

NMC may provide assessments, roadmaps, recommendations, implementation support, research, analysis, and other consulting services intended to help clients make informed decisions.

However, business and e-commerce outcomes depend on many factors outside NMC’s control, including market conditions, competition, customer behavior, budgets, staffing, technology, inventory, vendor performance, platform changes, and the client’s execution of recommendations.

NMC does not guarantee:

  • Increased revenue, profitability, traffic, or conversion rates;

  • Specific cost savings or returns on investment;

  • Approval or continued access to any marketplace, platform, or service;

  • Specific implementation or launch dates;

  • The availability or performance of third-party systems; or

  • Any other particular business result.

Examples, case studies, projections, estimates, and prior client outcomes are illustrative and do not promise that another client will achieve the same or similar results.

7. No Legal, Tax, Accounting, or Financial Advice

Unless expressly stated in a separate written agreement, NMC does not provide legal, tax, accounting, investment, or regulated financial advice.

Information concerning business operations, pricing, margins, compliance considerations, contracts, taxes, accessibility, privacy, or similar topics is provided for general strategic or operational purposes. You should consult an appropriately licensed professional regarding advice specific to your circumstances.

8. Intellectual Property

The Website and its contents—including text, graphics, branding, logos, design elements, images, downloads, frameworks, methodologies, and other materials—are owned by or licensed to NMC and are protected by applicable intellectual property laws.

Subject to these Terms, NMC grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for your own legitimate personal or internal business purposes.

Unless NMC gives prior written permission, you may not:

  • Copy, reproduce, republish, distribute, sell, or commercially exploit Website content;

Ownership and permitted use of materials created during a consulting engagement will be governed by the applicable client agreement.

9. Information and Materials You Submit

You retain ownership of information and materials you submit through the Website.

You grant NMC permission to access, store, reproduce, and use submitted materials as reasonably necessary to:

  • Respond to your inquiry;

  • Evaluate a potential engagement;

  • Prepare a proposal;

  • Provide requested services;

  • Maintain business records; and

  • Satisfy legal and contractual obligations.

You represent that you have the right and authority to submit the information and that doing so does not violate another person’s rights, contractual obligations, or applicable law.

Do not submit passwords, payment-card numbers, Social Security numbers, protected health information, highly sensitive personal information, or confidential third-party data through a general Website form.

The treatment of confidential information shared during an active consulting engagement may be governed by a separate nondisclosure or consulting agreement.

Your use of a third-party service is subject to that provider’s own terms and policies. The inclusion of a link or reference does not necessarily constitute an endorsement.

We try to keep Website information accurate and current, but we do not guarantee that all content will always be complete, accurate, available, or free from errors. Service descriptions, pricing, availability, and other Website content may change.

NMC disclaims all express and implied warranties relating to the Website, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and security.

NMC does not warrant that the Website will be uninterrupted, error-free, secure, or free from harmful components.

Some jurisdictions do not permit the exclusion of certain warranties, so portions of this section may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, NMC and its owners, employees, contractors, representatives, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

  • Your inability to access or use the Website;

  • Your reliance on Website content;

  • Third-party websites, platforms, or services;

  • Unauthorized access to or alteration of information; or

  • Any other Website-related matter.

This exclusion includes damages involving lost profits, revenue, data, business opportunities, goodwill, or business interruption, regardless of the legal theory asserted and even if NMC was advised that such damages were possible.

To the fullest extent permitted by law, NMC’s total liability for claims arising solely from your use of the public Website will not exceed the greater of the amount you paid specifically to access the Website during the twelve months preceding the claim or one hundred U.S. dollars ($100).

Liability arising from paid consulting services will be governed by the applicable consulting agreement.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

15. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless NMC and its owners, employees, contractors, and representatives from claims, liabilities, losses, damages, judgments, and reasonable expenses arising from:

  • Your misuse of the Website;

  • Your violation of these Terms;

  • Information or materials you submit;

  • Your violation of applicable law; or

  • Your infringement of another party’s rights.

This section does not require you to indemnify NMC for conduct for which indemnification cannot lawfully be required.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

To the extent permitted by law, any legal action arising from or relating to these Terms or use of the Website must be brought in a state or federal court with appropriate jurisdiction in Pima County, Arizona. You consent to the personal jurisdiction of those courts.

Any dispute governed by a separate consulting agreement will be handled according to the dispute-resolution provisions in that agreement.

17. Electronic Communications

When you communicate with NMC electronically, submit a form, or agree to a document electronically, you consent to receive related communications in electronic form.

Electronic communications and signatures may satisfy legal requirements that a communication or agreement be in writing, subject to applicable law.

18. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted or severed from these Terms. The remaining provisions will remain in effect.

19. No Waiver

NMC’s failure to enforce any provision of these Terms does not waive the right to enforce that provision later.

20. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and NMC concerning use of the public Website.

They do not replace or modify a separate written agreement governing consulting services.

21. Changes to These Terms

We may update these Terms periodically. When changes are made, we will revise the effective date at the top of this page.

Updated Terms become effective when posted unless otherwise stated. Your continued use of the Website after updated Terms are posted constitutes acceptance of the revised Terms.
